Local Lodge 1255 Bylaws
INTERNATIONAL ASSOCIATION OF MACHINISTS AND AEROSPACE WORKERS
AMARILLO, TEXAS
ARTICLE I
Section 1. This Organization shall be known as Panhandle Lodge 1255, International Association of Machinists and Aerospace Workers, Amarillo, Texas (hereinafter also referred to as "this Local Lodge").
Section 2. The regular meeting of this Local Lodge shall be held on the first Monday of every month at 5:30 p.m., except when the meeting date falls on a generally recognized holiday, in which event a substitute day of meeting shall be set at the preceding meeting.
Section 3. A quorum for a regular meeting shall be in accordance with the IAM Constitution.
Section 4. Special meetings shall be called and conducted by the President, as set forth in the IAM Constitution.
a. 30% of the members petitioning for a special called meeting shall constitute a quorum for a special meeting.
b. All members shall be notified by shop bulletin, or U. S. Mail at least 48 hours before the date of the special meeting. The notice shall state the purpose of the special meeting, and discussion and action shall be confined to the subject for which the meeting was called.
ARTICLE II
OFFICERS AND THEIR DUTIES
Section 1. The Officers of this Local Lodge, their selection, duties, qualifications and responsibilities shall be in accordance with applicable provisions of the IAM Constitution.
A member must have attended fifty 50% percent of the regular lodge meetings held during the 12‑month period ending the date of close of nominations in order to qualify as an officer or delegate. Excused absences shall be in accordance with Article B, Section 3, of the IAM Constitution for the meeting attendance requirement.
Section 2. The officers of this Local Lodge shall consist of a President, Vice‑President, Recording Secretary, Secretary‑Treasurer, Conductor‑Sentinel, and Board of Trustees, consisting of three (3) members. Their term of office shall be for three (3) years.
Section 3. Nomination of officers will be held at the regular meeting in November. Any member in good standing may nominate candidates for office. All nominations must be either made from the floor or received in writing by the President prior to the close of nominations. Each nominee must indicate to the President or Recording Secretary that he will serve if elected before having his name placed on the ballot. No member may be a candidate for more than one (1) elective office.
Section 4. The Recording Secretary shall prepare a suitable ballot and shall have same ready for use at the first meeting in December. Arrangements shall be made for the polls to be open to provide an opportunity for all members to vote without loss of time from their regular employment. Not later than fifteen (15) days prior to the election (to be held at the regular meeting in December) the Recording Secretary shall notify all members by mail, at their last known address, of the date and place of the election and the hours the polls will be open. Installation of officers shall be held at the regular meeting in January.
Section 5. The Local Lodge may, by majority vote, decide in advance and give notice that the candidates who receive the highest vote for their respective office shall be declared elected. In all other cases, a majority of all votes cast shall be required for election.
Section 6. Any vacancy occurring in the office of President shall be filled by the Vice‑President for the unexpired term. All other vacancies of office between elections covering Officers, Executive Board members and Delegates shall be filled by appointment by the President of the Lodge with the approval of the Executive Board. The President shall appoint a Delegate until the next annual election with the approval of the Executive Board. Such appointments shall be for the unexpired term of the three (3) years and the annual elections for the Delegates.
It shall be the duty of the Officers to attend all meetings. The office of any officer that is absent from three (3) consecutive meetings of the Local Lodge without valid reason shall be deemed vacant and the Local Lodge shall fill such vacancies by a new selection. The validity of absentee shall be considered by the Executive Board.
Section 7. All Officers, employees, or other individuals in this Local Lodge who are responsible for, or handle funds of or for the Lodge, shall be bonded in accordance with the IAM Constitution and the IAM Policy relating thereto.
Section 8. The President shall be paid a salary of 154 per regular dues stamp reported to Grand Lodge on the monthly report, and the Recording Secretary shall be paid a salary of 154 per regular dues stamp reported to Grand Lodge on the monthly report. The Secretary-Treasurer shall be paid a salary of 504 per regular dues stamp reported to Grand Lodge on the monthly report.
ARTICLE III
THE EXECUTIVE BOARD
Section 1. The Executive Board shall consist of all Local Lodge Officers. The President of the Lodge shall be Chairman of the Executive Board and the Recording Secretary shall be the Secretary of the Executive Board.
Section 2. A majority of the members shall constitute a quorum for Executive Board meetings.
Section 3. The Executive Board shall conduct its business in a methodical and businesslike way, keeping a record of its proceedings and otherwise conducting its affairs according to the principles reflected by the IAM Constitution and these bylaws.
Section 4. The Executive Board shall meet at least once a month to consider any business brought before them. The Chairman and the Secretary of the Executive Board may call a special meeting by notifying all members of the Board.
Section 5. It shall be the duty of the Executive Board to deliberate upon all matters referred to them and, as soon as possible thereafter, report its recommendations to this Local Lodge.
Section 6. The Executive Board shall have authority to act for the membership between meetings in emergencies, however, a report shall be made to the members at the next regular meeting of the Local Lodge.
ARTICLE IV
FEES AND DUES
Section 1. Qualifications for membership in this Local Lodge shall be provided in the IAM Constitution.
Section 2. The Initiation Fee for this Local Lodge shall be an amount equal to two (2) month's dues.
The reinstatement fee for this Local Lodge shall be an amount equal to six (6) months' dues.
The monthly dues of this Local Lodge shall be a uniform rate equal to two (2) times the weighted average hourly earnings of members covered by the collective bargaining agreements in each shop or bargaining unit under the Local Lodge jurisdiction in accordance with the IAM Constitution.
Section 3. No membership application shall be accepted unless satisfactory arrangements are made for payment of the initiation or reinstatement fee, nor until the applicant has signed and deposited a dues withholding authorization if employed under a contract which has dues withholding provision.
Section 4. This Local Lodge shall not accept for reinstatement any person against whom charges have been filed or fines or special levies made until he has been cleared of such charge, or has paid such fines or special levies.
Section 5. It is understood that anyone accepted as a member agrees to subject himself to all provisions of the Local Lodge bylaws and the IAM Constitution and shall be furnished a copy of each.
Section 6. The Local Lodge will pay the $2.00 unemployment fee a maximum of one year for those members who are sick and disabled.
Section 7. The Local Lodge will pay a one time retirement fee of $10.00 per retiree.
ARTICLE V
FUNDS
Section 1. All General Funds of this Local Lodge shall be deposited in a bank in the name of the Local Lodge and shall not be withdrawn without the consent of the Local Lodge.
Section 2. The General Funds of this Local Lodge may be disbursed only by an order drawn by the Recording Secretary and countersigned by the President; the check in all cases to be drawn by the Secretary‑Treasurer, and countersigned by the President (or in his absence the Vice‑President).
Section 3. All funds disbursed shall be voted upon by the Local Lodge except that the Secretary‑Treasurer shall be permitted to withdraw regular office expenses not to exceed $75.00 in any one (1) month. Any such expenses incurred shall be reported at the next regular meeting.
Section 4. There shall be an Emergency Fund maintained in accordance with the IAM Constitution. No money shall be voted out of this Emergency Fund except by a three‑fourths vote of those present and voting at a special or called meeting for this purpose.
Section 5. Officers, Delegates and members on official union business for the Local Lodge, shall receive up to eight (8) hours pay for lost time, if incurred during his or her scheduled work week.
(a) Officers, Delegates, and members on official union business away from home, shall receive the amount of per diem for meals and tip expenses according to IRS guidelines.
(b) Officers, Delegates and members on official union business using personal vehicles shall be paid mileage expense payments per the IRS guidelines and shall not exceed the cost of coach airfare.
ARTICLE VI
COMMITTEES
Section 1. The Auditors shall consist of a Committee of three (3) elective members, which are not Local Lodge Officers. They shall be nominated and elected at the same time the Local Lodge Officers election is held and for the same term. The Auditor's duties shall be in accordance with these bylaws and the IAM Constitution. Audits will be conducted semi-annually.
Section 2. The Finance Committee shall consist of three (3) Trustees. It shall be their duty to examine all bills before their presentation to the membership for approval; to prepare and present a budget at a regular meeting in December, or January, and to advise the membership regarding the financial condition and transactions of the Lodge.
Section 3. The President shall appoint the majority and the Vice‑President the minority of all committees not otherwise provided for, except the Local Lodge may choose to elect any committee, at any Local Lodge meeting, except the members of the Bylaws Committee who must be appointed by the President.
Section 4. The Chairman of each committee shall notify the members thereof, as soon as possible, to meet at such time and place as is agreed upon. Findings of committee reports shall be entered upon the minutes of this Local Lodge.
Section 5. A Legislative Committee consisting of up to seven (7) members shall be appointed by the President and shall function in accordance with the IAM Constitution.
Section 6. Members serving on Committees and losing time in such service shall submit an itemized statement of the expenses incurred to the Local Lodge before receiving payment. It is the policy of this Lodge that such reimbursements shall be in an amount equal to the actual lost wages.
(a) Officers, Delegates and members shall be allowed actual and necessary transportation and hotel expenses when away from home on official union business for the Local Lodge.
ARTICLE VII
PLANT UNION STEWARDS
Section 1. At the first regular meeting in October of each year, this Local Lodge shall nominate candidates for the positions of Stewards and Plant Union Committeemen.
Section 2. Stewards shall be elected from and by members in each designated subdivision of the shop in which they work. If the members fail to elect a Steward, the President shall appoint this Steward.
Section 3. All candidates for Stewards must have served in their respective subdivision a minimum period of one (1) year. Other qualifications shall be the same as for Local Lodge Officers as required in the IAM Constitution.
Section 4. It shall be the duty of the Steward to protect his bargaining Group in its jurisdiction of work. He shall endeavor to bring each employee of the trade into membership in the Local Lodge, and keep a record of the membership standing of the employees of his Group. He shall encourage the members to participate in all Local Lodge activities.
Section 5. It shall be the duty of the Stewards to attend all meetings of the Local Lodge.
Section 6. In case of alleged wrongdoing by a Steward, charges may be preferred against him under appropriate provisions of the IAM Constitution alleging conduct unbecoming a Plant Union Steward.
Section 7. The Recording Secretary shall prepare a suitable ballot and shall have same ready for use at the first meeting in November. Arrangements shall be made for the polls to be open to provide an opportunity for all members to vote without loss time from their regular employment.
Section 8. Absentee ballots shall be issued and voted in accordance with the provisions set forth in Section 3, Article II of the IAM Constitution.
ARTICLE VIII
DELEGATES
Section 1. At the first meeting in October of each year, this Local Lodge shall nominate candidates for the Metal Trade Council Delegates and Delegates to other affiliated groups as required by applicable bylaws and rules. The election of these candidates shall be held at the following regular meeting by secret ballot.
A member must have attended fifty (50%) percent of the regular lodge meetings held during the 12‑month period ending the date of close of nominations in order to qualify as an officer or delegate. Excused absences shall be in accordance with Article B, Section 3, of the IAM Constitution for the meeting attendance requirement.
Section 2. All group representative Delegates shall be members from the plant, railroad District, or subdivision of a shop for which they will be representing.
Section 3. When more than two (2) Delegates attend a convention, conference and/or council, such Delegates shall vote as a unit, on roll call or Delegate votes, a majority of the Delegates being sufficient to decide how the whole vote of the Local Lodge shall be cast. The Chairman of the delegation, who shall be the President, or shall have been appointed by the President, may call for a caucus prior to any vote he deems necessary to conduct the poll, and he may cast the ballots in accordance with the poll.
Section 4. Delegates, unless standing Delegates by virtue of an office to which they are elected by secret ballot, shall be elected by secret ballot.
Section 5. In the selection of Delegates to conventions (except Grand Lodge Conventions) conferences, schools, seminars or meetings, the President will be a standing Delegate, except wherein his office or group membership does not associate him with such conventions, conferences, schools, seminars or meetings. In electing Delegates to the Grand Lodge Convention, the President of the Lodge must stand for election to serve as a Delegate in accordance with the provisions of the IAM Constitution.
Section 6. Vacancies in the positions of Delegates between annual elections, where applicable, shall be filled by temporary appointment by the President of the Lodge with the approval of the Executive Board.
Section 7. Election of Delegates shall be representatives of the bargaining Groups when practicable.
ARTICLE IX
DUTIES
Section 1. The duties of this Local Lodge, its Officers and members shall be set forth in the IAM Constitution.
Section 2. The approval of a strike, method of declaring a strike, and the settlement of a strike shall be in accordance with applicable provisions of the IAM Constitution.
Section 3. Any member conducting himself in a manner detrimental to the harmony of this Local Lodge shall be reprimanded by the President. Any member violating these rules shall be subject to the provisions dealing with Trials in the IAM Constitution.
Section 4. Any member appointed or elected to a committee of this Local Lodge who, without acceptable reason, does not perform the duties imposed upon him shall be fined after charges and trial in accordance with the IAM Constitution.
Section 5. No member of this Lodge shall make any agreement with his employer as to working conditions, hours, or pay without the consent of this Local Lodge.
Section 6. In the absence of both the President and the Vice‑President, the meeting shall be called to order by the Recording Secretary, and the meeting shall then elect a Chairman pro tem.
ARTICLE X
AMENDMENTS
Section 1. Any increase in the amount of initiation and reinstatement fees, Emergency Funds, and Local Lodge dues must be handled on the basis of the procedures specified in the IAM Constitution.
Any other amendments to these bylaws must be handled on the basis of the following procedures:
(a) All proposals must be in writing, signed by not less than five (5) members, and referred to a Bylaws Committee appointed by the President.
(b) Must be read as proposed at two (2) consecutive meetings. Immediately following the second reading, the Bylaws Committee shall submit their recommendations.
(c) Reasonable advance notice must be given to the membership of the time, date and place of the second reading, and vote to be taken on the Bylaws Committee's recommendations.
(d) Each proposal must be considered and voted upon separately. A majority affirmative vote by those present and voting is needed for adoption.
(e) Triplicate copies of approved proposals, together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date.
ARTICLE XI
RULES OF ORDER
Section 1. Rules of Order shall be as set forth in the IAM Constitution.
Section 2. Order of Business:
1. Pledge to the Flag.
2. Roll Call of Officers and noting of absentees.
3. New Applications.
4. Report of committees on applications and acting on same.
5. Initiations.
6. Reading of minutes and acting on same.
7. Installation of Officers.
8. Examination and introduction of visiting members.
9. Reports of financial secretary and treasurer, or secretary‑treasurer, including receipts and disbursements since the close of the last meeting.
10. Communications, bills, etc.
11. Reports of Committees.
12. Anything for the good of the International Association of Machinists and Aerospace Workers and discussion of subjects of an economic nature.
13. Unfinished business.
14. New business. Election of officers.
15. Reports of sick and disabled members and of relief committee.
16. Reports of members out of work and positions vacant.
17. Adjournment.
ARTICLE XII
Section 1. Nothing in these bylaws shall be construed or applied in a manner that will conflict with the provisions of the IAM Constitution. All matters arising and not specifically covered by these bylaws shall be governed by the IAM Constitution.
